Terms of Services

The following are the terms of a legal agreement between you and Rebuild Technologies, outlining the key aspects of our business relationship.

Content Responsibility

The client is solely responsible for providing all site content, including text and multimedia, to Rebuild Technologies before work commences

Data Backup

The client must back up all existing site content before Rebuild Technologies undertakes any contract-related actions. Rebuild Technologies is not responsible for any loss or damage to this data.

Exclusions

Unless explicitly specified, paid for, and agreed upon by both parties, the contract does not hold Rebuild Technologies responsible for data entry, web hosting, or custom artwork/graphics-related tasks. Artwork, images, or text created by Rebuild Technologies for the client will remain the property of Rebuild Technologies unless otherwise agreed.

Delivery Time

While we strive to meet estimated delivery times, unforeseen situations, such as deployment issues, dependencies, 3rd-Party support, development bottlenecks, resource unavailability due to emergencies, or communication delays, may necessitate extensions or adjustments.

Client Review

Rebuild Technologies provides the client an opportunity to review the appearance and content of the website during and after completion. The client has a 7-day window to provide feedback. Failure to respond within this period implies automatic acceptance and approval by the client.

Copyright and Permissions

The client retains copyright for data, files, and graphic logos provided and grants Rebuild Technologies the right to publish and use such materials. The client is responsible for obtaining permission and rights for any copyrighted third-party materials and grants Rebuild Technologies permission to use them. The client also agrees to indemnify and hold harmless Rebuild Technologies from any claims resulting from negligence or failure to obtain proper copyright permissions.

Alterations

Rebuild Technologies is not responsible for alterations made by the client or third parties to the website after installation/deployment. Such alterations, including additions, modifications, or deletions, may require a one-off Web Development charge for resolution.

Cancellation

A cancellation fee may apply if the client cancels the service before completion, equivalent to the work completed at the time of cancellation. Non-payment of this fee or overdue amounts may result in legal action.

Support and 3rd-Party

Upon site launch, we offer one month of free support. After this period, we offer various price packages based on the client’s requirements, with attractive discounts for higher-tier packages. Support includes bug fixing and email support but excludes issues related to site architecture, rule changes, and add-ons/enhancements. We do not provide guarantees or warranties for third-party product/service accuracy or performance.

Re-work, Enhancements, and Billing

Additional features not initially outlined in the scope of work will be considered through a Change Management process and billed separately. Changes after wireframe sign-off will incur additional charges, with adjustments to timelines and costs for delivery.

Payment

Clients must make payments to Rebuild Technologies by agreed due dates without deductions, discounts, or debt settlement.

Limitations of Liability

While Rebuild Technologies will provide services with reasonable skill and care, we make no representation or warranty, express or implied, regarding service availability, quality, accuracy, timeliness, completeness, performance, or fitness for a particular purpose. We exclude ourselves, our employees, and agents from liability for loss or damage resulting from inaccuracies, omissions, delays, or errors in website production, as well as for loss or damage to client-supplied artwork/photos or data/content. We shall not be liable for any direct, indirect, or consequential damages, including loss of profit or property damage, except in cases of death or personal injury resulting from our negligent acts or omission

Third-Party Services

Rebuild Technologies cannot guarantee third-party services and will not be held liable for failures in any services provided by third parties.

Approvals and Delivery

The project consists of various stages, with work on each subsequent stage beginning after receiving sign-off and relevant payments for the previous stage, as agreed upon. Upon completion, all code and materials developed will be transferred, with code ownership residing with the client after final payments.

Publication Rights

Rebuild Technologies reserves the right to publish and use completed work, including the deployed final product/website, for references to other potential clients. Clients requiring withholding must notify Rebuild Technologies in advance for proper approvals.

Severability

If any provision of this agreement/order is deemed invalid, illegal, or unenforceable, the remaining provisions shall remain valid and enforceable. The agreement/order shall not be void solely due to one or more invalid, illegal, or unenforceable provisions, which will be replaced by a mutually acceptable provision closest to the parties’ original intent.
